That it is desirable to reconstruct the Company and for that purpose the Company be and it is hereby wound up voluntarily under the provisions of the Insolvency Act 1986. ORDINARY RESOLUTIONS 2. That Andrew Bland of DMC Recovery Limited, 41 Greek Street, Stockport, Cheshire SK3 8AX (the Liquidator) be and he is hereby appointed liquidator for the purposes of such winding up and that any act required or authorised under any enactment to be done by the Liquidator may be done by the person for the time being holding the office of liquidator. 3. That the remuneration of the Liquidator be fixed as set out in the engagement letter from DMC Recovery Limited a copy which is appended as schedule 11 to the agreement referred to in resolution no.4. SPECIAL RESOLUTIONS 4. That the agreement described below be and it is hereby approved and that: a. The directors or such of them as they shall nominate be and they are hereby authorised pursuant to section 91 (2) of the Insolvency Act 1986 on behalf of the Company to complete such agreement and to sign and execute and enter into the further documents in the form of the drafts appended to and referred to in the said agreement as being delivered by the Company on Completion of the said agreement, and b. the Liquidator be and he is hereby authorised pursuant to Section 110 Insolvency Act 1986 on behalf of the Company to carry into effect such agreement, namely, an agreement between (1) Niall James Tomlinson (2) Nicola Samantha Tomlinson (3) Richard Spencer Hogben (4) the Company (5) Harvey Scott Cheshire Limited (Newco A) (6) Harvey Scott Estate Agents Limited (Newco B) and (7) the Liquidator providing for inter alia, the transfer to Newco A of certain of the Companys business and assets in consideration of inter alia the issue to Mr Tomlinson of shares in Newco A and the transfer to Newco B of certain other of the Companys business and assets in consideration of inter alia the issue to Mr Hogben of shares in Newco B. 5. That, in accordance with the provisions of the Companys articles of association, the Liquidator be and he is hereby authorised to divide among the members in specie all or any part of the Companys assets. 6. That the Liquidator be and he is hereby authorised under section 165(2) of the Insolvency Act 1986 to exercise the powers laid down in Part 1 of Schedule 4 to such Act.
